1. Agreement to Terms

By accessing or using warpmetrics ("Service", "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you may not access or use the Service.

These Terms form a legally binding agreement between you ("User", "you", or "your") and warpmetrics ("Company", "we", "us", or "our"), headquartered in Amsterdam, The Netherlands.

2. Description of Service

warpmetrics provides an LLM observability platform that helps developers:

  • Track and monitor LLM API calls (cost, latency, tokens)
  • Group calls into runs and record outcomes
  • Analyze agent performance with dashboards and traces
  • Debug failing agent executions

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. Account Registration and Security

3.1 Account Requirements

  • Be at least 18 years old
  • Provide accurate, current, and complete information
  • Maintain and update your account details as needed
  • Verify your email address

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and all activities occurring under your account. Notify us immediately at support@warpmetrics.com if you suspect unauthorized access.

4. Acceptable Use

You may use the Service solely for lawful purposes. You agree not to:

  • Use the Service for unlawful or deceptive activities
  • Attempt to gain unauthorized access to systems or data
  • Interfere with the Service, servers, or networks
  • Use automated scripts or bots to access the Service
  • Reverse engineer, copy, or modify the Service
  • Resell, lease, or sublicense access to the Service

Violations may result in immediate suspension or termination of your account.

5. User Content and Data

5.1 Ownership

You retain all ownership rights to the telemetry data and other materials you send to warpmetrics ("User Content").

By using the Service, you grant warpmetrics a limited, worldwide, non-exclusive license to process, store, and display your data as part of the Service.

5.2 Data Accuracy

We strive for accuracy in data collection and display, but you are responsible for verifying data before relying on it for critical decisions.

6. Subscription and Payment

6.1 Plans

warpmetrics offers subscription-based plans with varying features and usage limits. Current pricing is listed on our Pricing page.

6.2 Payment Terms

  • Fees are billed in advance, monthly or annually
  • Payments are processed securely via Stripe
  • All fees are non-refundable, except where required by law

6.3 Cancellation

You may cancel your subscription anytime through your account settings. Cancellation takes effect at the end of your current billing cycle.

7. Intellectual Property

The Service, including all underlying software, design, and content (excluding User Content), is owned by warpmetrics or its licensors and is protected by intellectual property laws. The SDK is licensed under the MIT License.

8. Disclaimers and Limitations of Liability

8.1 Service Provided "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, express or implied.

8.2 Limitation of Liability

To the fullest extent permitted by law, warpmetrics shall not be liable for indirect, incidental, special, or consequential damages. Total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

8.3 Indemnification

You agree to indemnify and hold harmless warpmetrics from any claims arising out of your use of the Service or violation of these Terms.

9. Data Protection

Your use of the Service is also governed by our Privacy Policy. We process personal data in accordance with the GDPR and Dutch data protection laws.

10. Termination

You may delete your account at any time. We may suspend or terminate your account if you breach these Terms. Upon termination, your data may be deleted after 30 days, unless retention is required by law.

11. Governing Law

These Terms are governed by the laws of The Netherlands. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Amsterdam.

12. Changes to Terms

We may update these Terms periodically. Significant changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance.
